Temple-Inland Investor Sues Over International Pap

July 25 (Bloomberg) — Temple-Inland Inc. was sued by an investor seeking to force the producer of cardboard shipping boxes to consider a $3.31 billion takeover offer by International Paper Co.

Temple-Inland directors’ “utter refusal” to hold talks is unreasonable and not in the best interests of the company or its shareholders, investor Alan R. Kahn said in a complaint filed today in Delaware Chancery Court in Wilmington. Kahn seeks to represent all Temple-Inland shareholders in his request for a court order directing the company to consider and respond in good faith to acquisition offers.

“The director defendants’ selfish refusal to negotiate deprives Temple-Inland’s stockholders of the certainty of receiving a significant immediate cash premium versus waiting years for a recovery in building products Breitling replica watches,” lawyers for Kahn said in the complaint. “Their rejection also ignores that the economic recovery is slow, which implies a slow recovery in packaging markets.”

International Paper, the world’s largest pulp and paper maker, took its buyout offer directly to shareholders on July 12, six days after Temple-Inland directors rejected a proposed transaction. The $30.60-a-share cash bid “grossly undervalues” Temple-Inland, the Austin, Texas-based company said on July 18.

‘Unrealistic’ Expectations

Tom Ryan, a spokesman for Memphis, Tennessee-based International Paper, said in an e-mail on July 18 that Temple’s board had “unrealistic” price expectations.

Kahn argued in his complaint that it would be in the best interest of Temple-Inland shareholders for the company to take advantage of the proposed transaction or at least negotiate actively with International Paper.

“The director defendants’ stubborn refusal jeopardizes any chance that Temple-Inland shareholders will have the opportunity to consider a higher per share price offer by International Paper,” Kahn said in the complaint.

Chris Mathis, a spokesman for Temple-Inland Omega replica watches, didn’t immediately return a phone call seeking comment on the complaint.

LOS ANGELES – Mutual respect flowed both ways when Filipino Manny Pacquiao and his American challenger Shane Mosley discussed their May 7 WBO welterweight title fight in front of a packed audience on Thursday.

The two fighters are known for their aggressive and entertaining approach in the ring, and also for their reluctance to indulge in the pre-bout trash-talking so common in the sport.

"Manny is a special fighter because he goes out there and he puts 100% into what he is doing," Mosley told Reuters after he and Pacquiao held a joint news conference at Beverly Hills Hotel on Thursday.

"People, they feel it and they see it when he is out there working in the ring. He always tries to fight Omega replica watches, tries to win and tries to knock the guy out. He has a love of the sport.

"A lot of people are going to be rich, a lot of people are going to make money from this fight," he said with a smile. "The people that follow boxing know. The people that don’t, they might bet the wrong way."

For Pacquiao, (52-3-2, 38 KOs), being made a heavy favorite simply gives him extra incentive.

"I know it’s more responsibility for me and that’s why I have to train hard and get myself in 100 percent condition so that I won’t let down the fans," he told Reuters.

Pacquiao’s shrewd trainer Freddie Roach scoffs at the notion that his fighter faces an easy task against an American opponent who has a loss and a draw in his last two fights.

"That’s the worst thing in the world you can say because this is definitely not an easy fight," Roach said in front of a packed banqueting room.

"Shane has been there many times and he’s going to rise to the occasion. He is fighting Manny Pacquiao and he will fight the best fight of his life, I feel.

"We would be fools to underestimate Shane and we will not do that, I promise you."

Mosley, like Pacquiao renowned for his hand and foot speed, is 46-6-1 with 39 knockouts and believes he suffered in his last two bouts against fighters renowned for their ultra-defensive style.

He dropped a unanimous decision to the undefeated Floyd Mayweather Jr. in May and had a draw with Sergio Mora in September.

"It was very frustrating to fight guys that were real defensive, especially with Sergio Mora who was moving around a lot," Mosley, 39, said. "It was just hard to get anything done.

"I’d like to thank Manny for taking this fight. It shows what type of fighter he is, what type of person he is. He fights all the best (opponents). This is one of the biggest fights of my career, if not the biggest."

Estonia joins crisis-hit euro club, others wary

TALLINN, Estonia – Estonia switched smoothly to the euro on Saturday, brushing off worries about a crisis in the currency club which is likely to put off bigger eastern European nations from joining for up to a decade.

The Baltic state of 1.3 million became the 17th euro zone country at midnight and was the first former Soviet state to adopt the euro, capping 20 years of integration with the West.

Estonia sees the change as marking the end of its struggles since a 2009 recession lopped 14 percent off its output. It hopes to entice investors by removing fears of devaluation and make borrowing more secure for its people, many of whose mortgages are already in euros from top Nordic banks.

"It is a small step for the euro zone and a big step for Estonia," said Prime Minister Andrus Ansip, who was the first to take euros out of a specially installed cash machine.

"We are proud to be a euro zone member state."

The central bank, whose governor will now help decide euro zone interest rates Omega replica watches, said the changeover was smooth.

Czech Prime Minister Petr Necas has said the euro would not be to the country’s advantage for a long time. Economists say the larger eastern EU nations may now not join before 2019-2020.

German Chancellor Angela Merkel and French President Nicolas Sarkozy used New Year addresses to show support for the euro.

"The euro is the foundation of our prosperity," said Merkel. "Germany needs Europe and our common currency … We Germans assume our responsibility, even when it is sometimes very hard."

With a similar history of Nazi and Soviet occupation, all three Baltic states made joining Western structures their goals and joined NATO and the European Union in 2004.

Latvia and Lithuania hope to adopt the euro in 2014 and have had their currencies pegged to the euro for years.

The kroon will be converted at the rate of 15.6466 at which the currency was pegged to the euro. They will circulate together as legal tender for two weeks.

WASHINGTON – Just weeks after splitting his lip in a pick-up basketball game, President Barack Obama Monday resisted the temptation to shoot hoops with the stars of the NBA champion Los Angeles Lakers.

But Obama congratulated Kobe Bryant and his Lakers teammates on their National Basketball Association championship season last year, as he gathered the stars at a Washington Boys and Girls club.

He also spent time assembling care packages for wounded US troops with key Lakers players, including Lamar Odom, Pau Gasol, Derek Fisher and Ron Artest, before addressing the complete team, along with coach Phil Jackson in a gym.

The president also joked that the Lakers, as repeated NBA champs had been to the White House so often, that he had decided to change the venue for their presidential championship celebration.

WHO Go back to basics of patient care

GENEVA – The World Health Organisation said on Tuesday that current healthcare systems were inadequate to meet the challenges of the modern world and urged countries instead to go back to the basics of patient care.

Health systems have so far responded in an "inadequate and naive" way to social changes such as globalisation, urbanisation and ageing, and wide inequalities persist between and within countries, the WHO said in its Annual Health Report.

"Business as usual for health systems is not an option," the WHO said.

"It is clear that left to their own devices, health systems do not gravitate naturally towards the goals of health for all," the report said.

Annual government expenditure on health varies from as little as 20 dollars per person (15 euros) to well over 6,000 dollars, while the difference in life expectancy between the richest and poorest countries now exceed 40 years, the WHO said.

On a national level, the WHO highlighted the striking example of under-five mortality rates in the Kenyan capital Nairobi. In a high-income area, the rate is below 15 per thousand, while in a slum in the same city Omega replica watches, the rate is 254 per thousand.

"Rather than improving their response capacity and anticipating new challenges, health systems seem to be drifting from one short-term priority to another, increasingly fragmented and without a clear sense of direction," it further charged.

Health care is often delivered according to a model that concentrates on diseases Breitling replica watches, high technology, and specialist care, with health viewed as a product of biomedical interventions and the power of prevention largely ignored, the WHO said.

The U.P. Institute of Creative Writing has announced the winners of the Gawad Likhaan: U.P. Centennial Literary Awards.

Yabes (fiction and creative nonfiction, for her novel, “Below the Crying Mountain,” and her nonfiction narrative, “Sarena’s Story: The Loss of a Kingdom”).

In the Filipino division, the winners are: Jerry B. Gracio (poetry, for his collection, “Aves”); Jose Rey Munsayac (fiction, for his novel, “Duguang Kamay sa Nilulumot na Pader”; and Lualhati M. Abreu (creative nonfiction, for “Agaw Dilim, Agaw Liwanag”).

There is only one grand prize of P200,000 for each of the six categories. Award ceremonies were held on Tuesday, July 8, at the Pulungang Claro M. Recto, Faculty Center , UP Diliman. The affair is open to the public.

All entries to the contest were book-length, previously unpublished work.

The double winner, Yabes, is a U.P. Journalism graduate, and a freelance journalist and writer. Centennial Commission set up and funded the Gawad Likhaan as part of the UP Centennial Celebrations, to highlight the University’s contribution to the advancement of Philippine letters, through the prestigious UP National Writers Workshop held by the UP Institute of Creative Writing; its various ground-breaking publications; and the creative writing programs which have produced so many of the country’s writers.

The contest was administered by the UP Institute of Creative Writing. Members of the panel of judges were: J. Neil C. Garcia, Ricardo M. de Ungria, and Gémino H. Abad (poetry in English); Cristina Pantoja Hidalgo, Charlson Ong, and Amelia Lapeña-Bonifacio (fiction in English); Jose Y. Dalisay, Jr., Rosario Cruz Lucero, and Vicente Garcia Groyon (creative nonfiction in English); National Artist Virgilio S. Iya denies engagement with Drew

MANILA, Philippines – Actress-host Iya Villania cleared talks saying that she will soon wed longtime boyfriend Drew Arellano.

Talks that they are finally engaged circulated after Arellano posted a controversial message on his official Twitter page.

The tweet posted last April 29 said: "Someone just said she’s so ready to live the rest of her life with me."

In response, Villania stressed that there is no truth to the said engagement. She was also happy to learn that a lot of people wish she and Arellano would end up together forever.

"No, it is not true that Drew and I are engaged, although it is very sweet and amusing to see how excited everyone is waiting for it to happen. Don’t worry, mangyayari din sa tamang panahon," Villania said via a text message sent to "Showbiz News Ngayon."

SM Prime drops planned $500-M REIT offer

MANILA, Philippines – SM Prime Holdings said it was dropping plans to raise up to $500 million via a real estate investment trust (REIT) offer after Manila issued new rules that mandate a minimum 40% public ownership in REITs.

The country’s biggest mall developer, a unit of conglomerate SM Investments Corp. owned by the Philippines’ richest man Henry Sy Omega replica watches, had earlier picked CLSA and Macquarie as financial advisers for its planned REIT issue.

"We don’t think we’ll avail of the structure given the minimum public ownership," SM Prime Chief Finance Officer Jeffrey Lim said in a briefing.

Last week, the government’s main tax agency issued rules on the creation of REITs, including a requirement of a 40% minimum public ownership for the first two years of the REIT’s listing Breitling replica watches, before increasing it to 67% in the third year.

The Philippine Stock Exchange and property developers have said the mandatory sale of such a significant interest in REITs would not be viable.

The bumpy budget road to Oscars glory

HOLLYWOOD – Winning an Oscar will taste even sweeter for some films up for Hollywood’s highest honors Sunday — many less commercial movies struggle to get financed, and will savor success all the more intensely.

"Investing in independent films are financially very speculative, and generally anybody with a modicum of sanity stays away from them," said Jeffrey Levy-Hinte, producer of "The Kids are All Right."

The lesbian parenting film is on the 10-strong shortlist for best picture Oscar — at least half of which, including frontrunner "The King’s Speech," had to battle financially just to get off the ground.

The British historical drama, in the running for 12 Oscars, only made it because the powerful Weinstein brothers took a shine to the film’s screenplay, about the stammering George VI.

The same goes for boxing movie "The Fighter," which was saved when mini-major Relativity Media put $25 million on the table after the initial investor Paramount pulled out, as did many of the original actors.

Films like Facebook movie "The Social Network" — vying to edge out frontrunner "The King’s Speech" at the Academy Awards — were always expected to be box office hits, but for others prospects were less clear.

"The financing of ‘Kids’ was a long and winding road. Over the years studio divisions were interested, but ultimately none of them would greenlight the movie," recalled Levy-Hinte.

"In 2005 we entered pre-production only to have our financing evaporate. Ultimately, we brought in Celine Rattray who worked with us to bring in UGC-PH, Gilbert Films, and a dozen other equity investors to finance the movie."

The producer acknowledged that without the major league cast — Julianne Moore, Annette Bening and Mark Ruffalo — the film could never have been financed.

"Without a first rate and recognizable cast there would be no possibility of financing the film, and even after we assembled our incomparable cast, we were only able to raise about 5 million dollars," he added.

In the end they had to make the movie in 23 days.

"At this breakneck schedule .. we had to greatly simplify the production of the film. The performances were never compromised, but we did not have the luxury of creating a more elevated, cinematic approach to the film," he said.

"We are looking forward to the next film where I anticipate more ample resources."

Meanwhile, "Black Swan," the disturbing ballet thriller for which Natalie Portman is tipped to win best actress Oscar, faced a similarly bumpy path when trying to get off the ground.

"We thought that we had a deal with somebody and they fell out at the last minute," said producer Mike Medavoy Omega replica watches, recalling how investors Cross Creek came in the last minute.

"As usual in this kind of movie, it’s really hard to put the financing together."

Even having director Darren Aronofsky — who made the Oscar-nominated "The Wrestler" with Mickey Rourke in 2008 — did not especially help.

"Nobody could have said that Aronofsky was about to do a movie that has done over 205 million dollars at this moment. Nobody in his right mind would have said that," said Medavoy.

He said films with medium-sized budgets — around $20 millions — "are always more difficult, because there is so much money to be spent on advertising and marketing.

"It’s usually ten times the amount that you spend on making the movie. You really have to thread the needle. In this case, ‘Black Swan’ is a perfect example of a movie that threads the needle Tag heuer replica watches," he added.

Levy-Hinte lamented: "Every year it seems that financing is getting more difficult, and ‘Kids’ was by far the most difficult film that I have tried to finance.

"My hope is that we have reached the low point and the next one will be easier. That said I am not interested in making formulaic films that fit into the financiers preconceptions, and thus it probably will never be that easy."

Medavoy added: "I’m on my 214th movie and it’s always difficult. There’s always been a balance between the business and the artistic part of it.

"I’m never surprised in this business. It has always been difficult. If you look at almost every film that has won the Academy award, whether it’s ‘Amadeus,’ ‘Platoon,’ ‘Rocky,’ ‘Cuckoo’s Nest,’ they are all difficult films."
